a) Freedom of investment and national treatment
Unless otherwise provided for by international agreements and the provisions of special laws;
1- Foreign investors shall be free to make foreign direct investments in Türkiye.
2- Foreign investors shall be subject to equal treatment with domestic investors.
b) Expropriation and nationalisation
Foreign direct investments may not be expropriated or nationalised, in accordance with the legislation in force, unless required by the public interest and unless compensation is paid.
c) Transfers
Net profits, dividends, proceeds of sale, liquidation and compensation, amounts payable in consideration of licence, management and similar agreements, and principal and interest payments of foreign loans arising from the activities and transactions of foreign investors in Türkiye may be freely transferred abroad through banks or special finance institutions.
d) Annulled by Constitutional Court decision of 11/3/2008, E. 2003/71, K. 2008/79.
e) Settlement of disputes
For the settlement of disputes arising from investment contracts subject to private law and of investment disputes arising from public service concession conditions and contracts concluded by foreign investors with the administration, recourse may be had, in addition to the competent courts having jurisdiction, to national or international arbitration or other dispute resolution methods, provided that the conditions set out in the relevant legislation are met and the parties so agree.
f) Valuation of non-cash capital
The valuation of capital other than cash shall be carried out within the framework of the provisions of the Turkish Commercial Code. Where securities of companies established in foreign countries are used as an investment instrument, the valuations of the authorities competent to carry out valuations under the legislation of the country of origin, or of experts to be appointed by the courts of the country of origin, or of international valuation institutions shall be taken as the basis.
g) Employment of foreign personnel
Work permits shall be granted by the Ministry of Labour and Social Security to foreign national personnel to be employed in companies, branches and entities established within the scope of this Law.

h) Liaison offices
The Undersecretariat is authorised to grant permission to companies established under the laws of foreign countries to open liaison offices in Türkiye, provided that they do not engage in commercial activities.

MADDE 3 · Doğrudan yabancı yatırımlara ilişkin esaslar
a) Yatırım serbestisi ve millî muamele
Uluslararası anlaşmalar ve özel kanun hükümleri tarafından aksi öngörülmedikçe;
1- Yabancı yatırımcılar tarafından Türkiye'de doğrudan yabancı yatırım yapılması serbesttir.
2- Yabancı yatırımcılar yerli yatırımcılarla eşit muameleye tabidirler.
b) Kamulaştırma ve devletleştirme
Doğrudan yabancı yatırımlar, yürürlükteki mevzuat gereğince; kamu yararı gerektirmedikçe ve karşılıkları ödenmedikçe kamulaştırılamaz veya devletleştirilemez.
c) Transferler
Yabancı yatırımcıların Türkiye'deki faaliyet ve işlemlerinden doğan net kâr, temettü, satış, tasfiye ve tazminat bedelleri, lisans, yönetim ve benzeri anlaşmalar karşılığında ödenecek meblağlar ile dış kredi ana para ve faiz ödemeleri, bankalar veya özel finans kurumları aracılığıyla yurt dışına serbestçe transfer edilebilir.

e) Uyuşmazlıkların çözümü
Özel hukuka tabi olan yatırım sözleşmelerinden kaynaklanan uyuşmazlıkların çözümü ile yabancı yatırımcıların idare ile yaptıkları kamu hizmeti imtiyaz şartlaşma ve sözleşmelerinden kaynaklanan yatırım uyuşmazlıklarının çözümlenmesi için; görevli ve yetkili mahkemelerin yanı sıra, ilgili mevzuatta yer alan koşulların oluşması ve tarafların anlaşması kaydıyla, milli veya milletlerarası tahkim ya da diğer uyuşmazlık çözüm yollarına başvurulabilinir.
f) Nakit dışı sermayenin değer tespiti
Nakit dışındaki sermayenin değer tespiti, Türk Ticaret Kanunu hükümleri çerçevesinde yapılır. Yabancı ülkelerde kurulu bulunan şirketlerin menkul kıymetlerinin yatırım aracı olarak kullanılması halinde, menşe ülke mevzuatına göre değer tespitine yetkili makamların veya menşe ülke mahkemelerince tespit edilecek bilirkişilerin ya da uluslararası değerlendirme kuruluşlarının değerlendirmeleri esas alınır.
g) Yabancı personel istihdamı
Bu Kanun kapsamında kurulan şirket, şube ve kuruluşlarda istihdam edilecek yabancı uyruklu personele, Çalışma ve Sosyal Güvenlik Bakanlığınca çalışma izni verilir.

h) İrtibat büroları
Müsteşarlık, yabancı ülke kanunlarına göre kurulmuş şirketlere, Türkiye'de ticarî faaliyette bulunmamak kaydıyla irtibat bürosu açma izni vermeye yetkilidir.
