Article 7: Merger or Acquisition

Part Two › Chapter One: Prohibited Activities

Amended paragraph one: 16/6/2020, Law No. 7246, Art. 2 The merger of one or more undertakings, or the acquisition by any undertaking or person of all or part of the assets or partnership shares of another undertaking, or of instruments conferring upon it the power to hold rights in management, except for acquisition by way of inheritance, in such a manner as to result in significantly lessening effective competition in any market for goods or services within the whole or a part of the country, in particular by creating a dominant position or strengthening an existing dominant position, is unlawful and prohibited.

The Board shall announce, by the communiqués it shall issue, which types of mergers and acquisitions must be notified to the Board and authorised in order to acquire legal validity.

MADDE 7 · Birleşme veya Devralma

(Değişik birinci fıkra:16/6/2020-7246/2 md.) Bir ya da birden fazla teşebbüsün başta hâkim durum yaratılması ya da mevcut bir hâkim durumun güçlendirilmesi olmak üzere ülkenin bütünü yahut bir kısmında herhangi bir mal veya hizmet piyasasındaki etkin rekabetin önemli ölçüde azaltılması sonucunu doğuracak şekilde birleşmeleri veya herhangi bir teşebbüsün ya da kişinin diğer bir teşebbüsün mal varlığını yahut ortaklık paylarının tümünü veya bir kısmını ya da kendisine yönetimde hak sahibi olma yetkisi veren araçları, miras yoluyla iktisap durumu hariç olmak üzere, devralması hukuka aykırı ve yasaktır.

Hangi tür birleşme ve devralmaların hukuki geçerlilik kazanabilmesi için Kurula bildirilerek izin alınması gerektiğini Kurul, çıkaracağı tebliğlerle ilan eder.
