Article 137: II. Partial impossibility of performance

Chapter Three: Extinction of Obligations and Obligatory Relationships, Limitation › Division One: Grounds of Extinction

If performance of the obligation becomes partly impossible for reasons for which the debtor cannot be held responsible, the debtor shall be released only from the part of the obligation that has become impossible. However, if it is clearly apparent that the parties would not have concluded such a contract had this partial impossibility been foreseen in advance, the entire obligation shall be extinguished.

In bilateral contracts, if the obligation of one party becomes partly impossible and the creditor consents to partial performance, the counter-performance shall also be rendered in the same proportion. Where the creditor does not consent to such performance or the counter-performance is indivisible in nature, the provisions on total impossibility shall apply.

MADDE 137 · II. Kısmi ifa imkânsızlığı

Borcun ifası borçlunun sorumlu tutulamayacağı sebeplerle kısmen imkânsızlaşırsa borçlu, borcunun sadece imkânsızlaşan kısmından kurtulur. Ancak, bu kısmi ifa imkânsızlığı önceden öngörülseydi taraflarca böyle bir sözleşmenin yapılmayacağı açıkça anlaşılırsa, borcun tamamı sona erer.

Karşılıklı borç yükleyen sözleşmelerde, bir tarafın borcu kısmen imkânsızlaşır ve alacaklı kısmi ifaya razı olursa, karşı edim de o oranda ifa edilir. Alacaklının böyle bir ifaya razı olmaması veya karşı edimin bölünemeyen nitelikte olması durumunda, tam imkânsızlık hükümleri uygulanır.
