Article 179: 1. Relationship between the penalty and performance of the contract

Chapter Four: Special Situations in Obligational Relationships › Division Three: Earnest Money, Forfeit Money and Penalty Clause

Where a penalty has been agreed for the case of non-performance or improper performance of a contract, the creditor may, unless otherwise evident from the contract, demand either performance of the obligation or payment of the penalty.

Where the penalty has been agreed for the case of the obligation not being performed at the specified time or place, the creditor may demand payment of the penalty together with performance of the principal obligation, unless he has expressly waived this right or accepted performance without reservation.

The debtor's right to prove that he is entitled to terminate the contract by withdrawal or rescission by paying the agreed penalty is reserved.

MADDE 179 · 1. Cezanın sözleşmenin ifası ile ilişkisi

Bir sözleşmenin hiç veya gereği gibi ifa edilmemesi durumu için bir ceza kararlaştırılmışsa, aksi sözleşmeden anlaşılmadıkça alacaklı, ya borcun ya da cezanın ifasını isteyebilir.

Ceza, borcun belirlenen zaman veya yerde ifa edilmemesi durumu için kararlaştırılmışsa alacaklı, hakkından açıkça feragat etmiş veya ifayı çekincesiz olarak kabul etmiş olmadıkça, asıl borçla birlikte cezanın ifasını da isteyebilir.

Borçlunun, kararlaştırılan cezayı ifa ederek sözleşmeyi, dönme veya fesih suretiyle sona erdirmeye yetkili olduğunu ispat etme hakkı saklıdır.
