Article 621: I. Contribution

Part Two: Special Obligational Relationships › Chapter Eighteen: Contract of Simple Partnership

Each partner is obliged to make a contribution to the partnership in the form of money, claims or other property, or labour.

Unless otherwise agreed in the contract, contributions must be of the importance and nature required by the purpose of the partnership and equal to one another.

Where the contribution of a partner consists of granting the use of a thing, the provisions of the lease contract, and where it consists of the ownership of a thing, the provisions of the sales contract, concerning risk and liability for defects and for eviction shall apply by analogy.

MADDE 621 · I. Katılım payı

Her ortak, para, alacak veya başka bir mal ya da emek olarak, ortaklığa bir katılım payı koymakla yükümlüdür.

Sözleşmede aksi kararlaştırılmamışsa katılım payları, ortaklığın amacının gerektirdiği önem ve nitelikte ve birbirine eşit olmak zorundadır.

Bir ortağın katılım payı, bir şeyin kullandırılmasından oluşuyorsa kira sözleşmesindeki; bir şeyin mülkiyetinden oluşuyorsa satış sözleşmesindeki hasara, ayıptan ve zapttan sorumluluğa ilişkin hükümler kıyas yoluyla uygulanır.
